DISCLOSURE STATEMENT

Coinut Pte. Ltd. ("Coinut") is currently operating under exemption and is exempted, pursuant to the Payment Services (Exemption for Specified Period) Regulations 2019 ("Exemption Regulations"), from holding a licence under the Payment Services Act 2019 ("PS Act"). Application to the Monetary Authority of Singapore ("MAS") to obtain a Major Payment Institution ("MPI") licence under the PS Act is in progress and in respect t all the following Payment Services:

  1. Account issuance service;
  2. E-money issuance service;
  3. Digital payment token service.

Please note that you may not be able to recover all the money you paid to Coinut Pte Ltd if Coinut Pte Ltd's

RISK WARNING
ON DIGITAL PAYMENT TOKEN SERVICES

The Monetary Authority of Singapore (MAS) requires us to provide this risk warning to you as a customer of a digital payment token (DPT) service provider. Before you:

(a) pay or transfer your DPT service provider any money or DPT
(b) enter into an agreement with a third party to buy or sell DPTs upon inducement by your DPT service provider;
(c) enter into an agreement with a third party under an arrangement by your DPT service provider for the transmission of DPTs;
(d) pay a third party any money or DPT under an arrangement by your DPT service provider for the transmission of DPTs;
(e) transfer any digital payment token instrument to your DPT service provider. You should be aware of the following:

  • Your DPT service provider is exempted by MAS from holding a licence to provide DPT services. Please note that you may not be able to recover all the money or DPTs you paid to your DPT service provider, or any other third party referred to above, if your DPT service provider's or the third party's business fails.
  • You should not transact in the DPT if you are not familiar with this DPT. This includes how the DPT is created, and how the DPT you intend to transact is transferred or held by your DPT service provider.
  • You should be aware that the value of DPTs may fluctuate greatly.
  • You should buy DPTs only if you are prepared to accept the risk of losing all of the money you put into such tokens.
  • You should be aware that your DPT service provider, as part of its licence to provide DPT services, may offer services related to DPTs which are promoted as having a stable value, commonly known as 'stablecoin'.

NOTICE TO NON-SINGAPORE RESIDENTS

Coinut Switzerland AG ("Coinut"), is registered with Verein zur Qualitätssicherung von Finanzdienstleistungen (VQF) as an SRO member with membership number 101091.

The Client acknowledges and accepts that Crypto Assets may be highly volatile and/or inflationary and that the underlying markets may be illiquid, with the risk that the value of such Crypto Assets may decrease significantly or that such Crypto Assets may even become completely worthless.

The Client acknowledges and agrees that Crypto Assets are usually neither guaranteed nor backed by either a particular nation, institution, company, individual or Coinut. Furthermore, the Client acknowledges and agrees that Crypto Assets may be unregulated in some jurisdictions and their legal and regulatory status may be uncertain.The Client acknowledges and accepts that devices, systems, software and networks on the Client’s end are outside of Coinut’s control and may constitute a weak point susceptible to abuse by unauthorized third parties.

The Client fully acknowledges and accepts the risks inherent within the Services involving Crypto Assets. The risks mentioned are not exhaustive and, to the extent they are outside of Coinut’s control, Coinut excludes all liability permitted by applicable law.

RISK DISCLOSURE APPLICABLE TO
COINUT CANADA LTD.'S CLIENTS

Coinut Canada Ltd. is registered with FINTRAC as a Money Services Business under registration number M18935124 and provides services to its customers. It has been actively working with the Ontario Securities Commission ("OSC") on its Crypto Trading Platform ("CTP") licence. This statement outlines key risks associated with holding crypto assets on the Coinut Canada platform.

Cryptocurrencies are speculative investments, and you may lose all or part of your funds. It is important to understand the risks, including volatility, regulatory uncertainty, and cyber security threats, before speculating in crypto trading. RISK DISCLOSURE APPLICABLE TO
COINUT USA INC.'S CLIENTS

Coinut USA Inc. ("Coinut USA") is registered as a Money Services Business (MSB) with FinCEN under registration number 31000308226389 and in the process to apply for a Money Transmitter License (“MTL”) at the state level. Certain services made available to U.S. clients are facilitated through arrangements with the regulated third-party service providers that are duly registered and licensed with MSB and MTL, to conduct such activities regulated by MSB and MTL.

By using Coinut USA’s services, The Client acknowledges and accepts the following risks:

  • Services may be limited or disrupted if Coinut USA’s third-party service providers modify, restrict, or terminate their services.
  • Digital assets are highly volatile, may lose significant value in a short time, and you may lose all the money you put into them.
  • Digital assets are not insured by the Federal Deposit Insurance Corporation (FDIC) or any other government agency. In the event of insolvency or business failure of Coinut USA or its third-party service providers, you may not be able to recover funds or digital assets.
  • The U.S. regulatory framework for digital asset activities is evolving, and changes in federal and state regulations may adversely affect your ability to access or use services provided via and/or on behalf of Coinut USA.
  • The security of your devices, accounts, and access credentials remains your responsibility, and weaknesses outside of Coinut USA's systems may expose you to risks of theft or loss.
